Terms and Conditions
The terms on which we supply every service and digital product.
These terms govern every service and digital product supplied by Touchline Agency (Pty) Ltd (“Touchline”, “we”, “us”), including products sold under our trading name Visiocorp. They apply together with the written quote or service agreement for your order. Where the two differ, the signed agreement for that order prevails.
1. Who we are
Touchline Agency (Pty) Ltd, a private company incorporated in South Africa on 22 April 2025 under registration number 2025/335979/07, income tax number 9771464196, director K. R. Mogaki (sole director), of 946 Morudi Street, Tlhabane, Rustenburg, North West 0309, South Africa. Telephone +27 71 548 6226. Email david@visiocorp.co. Website https://visiocorp.co. Not registered for VAT — no VAT is charged on any invoice. These details, and the information required by section 43 of the Electronic Communications and Transactions Act 25 of 2002, are supplied to every customer before payment is requested.
2. What we supply
Music products and services (beats and instrumentals supplied under licence, mixing, mastering, recording and production sessions, and record packages); artist and creator management and brand campaign services; release campaign services; and digital memberships, market data, research and newsletter subscriptions. All supply is digital or is a professional service. We supply no physical goods and operate no delivery or courier service.
3. Orders
No order exists until we have issued a written quote or service agreement stating the scope, the price, the currency, the delivery date and the revision rounds, and you have accepted it. A payment request is issued only for an accepted order and only for the amount stated in it. We may decline an order.
4. Prices, currency and payment
We quote in US dollars for international customers and charge in South African rand at the rate applied on the day the payment request is created. The rand amount you will be charged is displayed before you pay. We are not registered for VAT, so no VAT is added to any amount.
Card payments are processed by Payfast and by Yoco, both licensed South African payment service providers. We do not receive, handle or store your full card details. Where a product is sold as a subscription or on a stored-card basis, the amount, the frequency, the first and next billing dates and the cancellation method are disclosed to you before you authorise it, and we charge only the amounts you have authorised.
Work begins, and a booked session is held, once payment or the agreed deposit reflects. Where an order is invoiced rather than prepaid, payment is due on the date on the invoice.
5. Delivery
Digital files are delivered by download link or file transfer to the email address on the order. Unless the agreement states a different date, delivery is within 3 to 10 business days of the later of cleared payment and our receipt of everything we need from you. Subscription and membership access is granted to the email address on the order, ordinarily within one business day of payment, and runs for the term purchased. Campaign services are performed over the window stated in the agreement.
If we cannot deliver by the agreed date we will tell you, give a revised date, and you may cancel and receive a full refund of anything paid for the undelivered part.
6. Your material and your obligations
You confirm that anything you send us — recordings, stems, artwork, names, footage or data — is yours to use, or that you have the rights to it, and that our using it as instructed will not infringe anyone else's rights. You agree to supply what we need on time; delay on your side moves the delivery date by the same period. You indemnify us against third-party claims arising from material you supplied.
7. Revisions and approval
Mixing and mastering orders include the number of revision rounds stated on the order, requested within 14 days of delivery, and limited to the brief already agreed. New creative direction, added parts or a changed song is new work and is quoted separately.
8. Rights and licensing
Beats and instrumentals are supplied under a written licence naming the permitted uses, the territory and the term. Ownership of the underlying composition and the recording stays with us except where a written agreement expressly transfers it. Where an agreement does transfer rights, that transfer takes effect only on payment in full. In all mixing and mastering work you keep the rights in your own recording; we claim no ownership in it. We may name you and the work in our portfolio unless you ask us in writing not to.
9. Campaign and marketing services
Campaign services are the performance of agreed activity, reported on. We do not guarantee streams, placements, chart positions, followers, coverage, sales or revenue, and no such outcome forms part of what you are buying. Third-party platform decisions are outside our control. Paid promotional content is disclosed in line with the ARB Code of Advertising Practice, the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act.
10. Cancellation and refunds
Your cancellation rights, your statutory cooling-off right under section 44 of the Electronic Communications and Transactions Act, and how refunds are paid, are set out in full in our Refund and Cancellation Policy, which forms part of these terms and is issued with them.
11. Chargebacks and disputes
If something is wrong, contact us first at david@visiocorp.co; we acknowledge within two business days and aim to resolve within ten. Raising a card chargeback without contacting us does not remove your rights, and nothing in this clause limits them — it simply lets us fix the problem faster.
12. Personal information
We process personal information in line with the Protection of Personal Information Act 4 of 2013. We collect only what an order needs — name, email, telephone, billing details and the content of your order — and use it to quote, deliver, invoice, support and meet our legal obligations. We do not sell personal information. Card data is handled by Payfast and Yoco, not by us. Information is kept while your account is active and for as long afterwards as the law requires. You may ask us to confirm, correct or delete what we hold, or object to a use, by writing to david@visiocorp.co, and you may complain to the Information Regulator of South Africa.
13. Confidentiality
Unreleased music, commercial terms, contact lists, methods and reporting shared between us stay confidential and are used only for the engagement, except where disclosure is required by law.
14. Liability
We are liable for what we undertake to do, and we do it with reasonable skill and care. Our total liability for any order is limited to the amount you paid us for that order. We are not liable for indirect or consequential loss, including lost profit, lost income or lost opportunity. Nothing here excludes liability that cannot lawfully be excluded, including a consumer's rights under the Consumer Protection Act.
15. Suspension and termination
Either of us may end an engagement on written notice where the other is in material breach and has not remedied it within ten business days. Amounts due for work already performed remain payable, and the Refund and Cancellation Policy determines what is refunded.
16. Events outside our control
Neither party is in breach for delay caused by something outside its reasonable control. We will tell you, and where a delay makes the order pointless you may cancel and be refunded for anything undelivered.
17. Complaints
Complaints go to david@visiocorp.co or +27 71 548 6226. We acknowledge within two business days and give a written outcome within ten. If you are a consumer and we cannot resolve it, you may refer the matter to the National Consumer Commission.
18. General
These terms, the quote or agreement for your order and the Refund and Cancellation Policy are the whole agreement between us. We may update these terms; the version issued with your order governs that order. If a clause is unenforceable, the rest stands. These terms are governed by South African law and the South African courts have jurisdiction.
